Terms & Conditions

The terms that apply when you hire BrainWeb Ltd to design, build, host, or promote a website.

Last updated: 6 October 2026.

Who these terms apply to

These terms apply to any client hiring BrainWeb Ltd (company number 10361227, “BrainWeb”, “we”, “us”) for web design, web development, hosting, SEO, content, or related work (“services”). By approving a quote or proposal, you agree to these terms. If your quote says something different from these terms, the quote applies.

Our services are provided to businesses, charities, and other organisations. If you are buying as a consumer, nothing in these terms affects your statutory rights.

Quotes and agreeing a project

Project work is quoted in writing, with a fixed price and scope, before work begins. Once you approve a quote, the price is fixed for the agreed scope. Work outside that scope is quoted separately, or billed by the hour in 15-minute increments if you prefer.

Payment

Unless your quote says otherwise, project work is invoiced in two halves: the first when you approve the design, and the second at launch. Ongoing services, such as hosting and monthly SEO, are billed in advance, monthly or annually as agreed.

BrainWeb is not registered for VAT, so no VAT is added to our prices. If that changes, we will tell you before it affects an invoice.

Invoices are due within the period stated on the invoice. We may pause work or services on an account that is significantly overdue, and will tell you before we do.

Your responsibilities

You are responsible for providing the content, materials, decisions, and approvals we ask for in good time. Delays in providing them may move the project timeline.

You confirm that you have the right to use any text, images, logos, or other material you give us to put on your website.

Who owns the work

Until the final payment for a project is received in full, the design and development work remains the property of BrainWeb. Once you have paid in full, ownership of the bespoke work created for you passes to you. This does not include our own tools and frameworks, or third-party components such as themes, plugins, fonts, and stock images, which stay under their own licences.

Cancelling a service

You can cancel any service at any time, without notice, as long as you have paid for everything used up to that point. If you cancel part-way through a project, you pay for the work done so far.

Hosting, email, and other monthly or annual services can be cancelled at any time. The service continues until the end of the billing period you have paid for, and then stops. If you cancel, we will help you move your site and data to a new provider.

Domain names

Domain names are registered for a year at a time, and registration fees are not refundable. To keep a domain after its registration period ends, it must be renewed, either with us or by transferring it to another registrar before it expires.

Liability

We will carry out our services with reasonable care and skill. Nothing in these terms limits our liability for death or personal injury caused by our negligence, for fraud, or for anything else that cannot be limited by law. Otherwise, our total liability for any claim arising from our services is limited to the fees paid for the service the claim relates to, and we are not liable for indirect or consequential loss.

Confidentiality

Each of us agrees to keep confidential any non-public information the other shares during the work.

Personal data

How we handle personal data is set out in our privacy policy.

Governing law

These terms are governed by the law of England and Wales, and any dispute is subject to the exclusive jurisdiction of the courts of England and Wales.

Changes to these terms

We may update these terms from time to time. The version that applies to a project is the one in force when its quote was approved.
